Payment Terms

For paid services:

• Fees are as quoted or as stated in your service agreement
• Payment is due according to the terms specified in your agreement

Service Availability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXA LABS GLOBAL, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Exa Labs Global, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.
